Lincoln law academic publishes monograph on Corporate Governance and Statutory Derivative Actions
Dr Lang Thai, Senior Lecturer, has published a new book with Routledge Research in Corporate Lawseries. The book, Corporate Governance and Statutory Derivative Actions: Comparative Approach to Shareholder Litigation, is the first comprehensive study of the statutory derivative action in Australia, using the Australian model as a reference point and comparing it with the UK, Canada, Singapore, New Zealand, Hong Kong and USA counterparts. The book includes an empirical study covering over a 20-year period from the date the statutory framework came into operation, coupled with extensive case law analysis and comparisons with other jurisdictions.
The book presents an argument as to why and how statutory derivative action is in need of law reform to enhance good corporate governance. Statutory derivative action is a lawsuit brought by a shareholder or an officer on behalf of a company to remedy a wrong done to the company where the company is unwilling or unable to do so.
